This Agreement governs the relationship between Joorus Inc. and independent makeup artists, hairstylists, and beauty professionals ("MUAs") who use Aamey to build their business.

1. Independent-contractor status

1.1. You are an independent contractor. You are not an employee, partner, joint-venturer, or franchisee of Joorus or Aamey.

1.2. You are responsible for your own taxes, insurance, licensing, certifications, and compliance with all laws applicable to your services.

1.3. You may not represent yourself as an employee, agent, or official representative of Aamey or Joorus.

2. Eligibility and verification

2.1. To activate paid tier features (custom domain, Pro device pairing, Aamey Pro Directory listing, and to receive payouts), you must provide:

• Valid professional credential (cosmetology / esthetician / hair license where required by your jurisdiction)
• Business registration (where applicable)
• Liability insurance proof (recommended; required in some regions)
• Government-issued ID for KYC via Stripe Connect

2.2. Joorus verifies these within 48 business hours via Aamey ops and Stripe's KYC. Joorus may decline or revoke verification with reason.

2.3. Maintain your credentials throughout your time on Aamey; expired credentials trigger a hold on payouts until renewed.

3. Pricing and revenue split

3.1. Aamey takes a percentage commission on every transaction processed through Aamey:

3.2. Service tax (GST/HST, VAT, sales tax) is collected by Aamey and remitted to the appropriate authority. You receive your net amount.

3.3. Currency of payout matches your Stripe Connect account currency. FX is handled by Stripe.

3.4. Payout cadence: standard Stripe daily payouts (subject to Stripe's settlement schedule). Joorus does not delay payouts beyond Stripe's holds.

3.5. Tax forms (1099-NEC in the US, T4A in Canada, equivalents elsewhere) issued annually via Stripe.

4. Your services to clients

4.1. You set your own service catalogue, prices, availability, and venue rules.

4.2. You are responsible for the quality, safety, and outcome of every service.

4.3. You must comply with all health, sanitation, and licensing requirements applicable to in-person services.

4.4. You may not discriminate against clients on the basis of race, ethnicity, gender, gender identity, sexual orientation, religion, disability, or any protected ground under applicable law.

4.5. You may set reasonable cancellation policies, but cancellation policies must be disclosed at the time of booking.

5. Client data

5.1. Profile sharing: when a client books you and grants profile access, you may view that profile, including (with their separate consent) face mesh and skin diagnostic data, for the duration of the engagement (30 days by default, extendable by mutual consent).

5.2. You may not:

• Export, copy, or share client data outside Aamey
• Use client data to contact clients outside Aamey's messaging
• Retain client data after access expires
• Use client face data for AI training or any purpose beyond the immediate engagement

5.3. You must maintain confidentiality of all client information — same standard as a regulated beauty professional in your jurisdiction.

6. Content rights

6.1. You own the looks, sketches, photos, and videos you create on Aamey.

6.2. You grant Joorus a worldwide, royalty-free, non-exclusive license to host, display, distribute, and promote your Content within Aamey, for the purpose of operating the platform.

6.3. Promotional use: Joorus may feature your Content in Aamey marketing (with attribution) only with your separate written consent.

6.4. Remixes: by publishing a Look to the public Look library, you allow other MUAs to remix it (with attribution carried forward).

6.5. Client photos: require the client's separate consent; you may upload only with client permission, and you must respect the client's revocation rights.

7. Storefront and custom domain

7.1. Pro tier and above unlocks <handle>.shops.aamey.com and optional custom domain (e.g., janemua.com via CNAME).

7.2. Your storefront must comply with the Aamey Terms of Service. Joorus may suspend a storefront violating these terms.

7.3. Custom domain DNS verification is your responsibility; Aamey issues TLS via Let's Encrypt once DNS is verified.

8. Bookings, payments, disputes

8.1. Bookings are between you and the client; Joorus is the platform.

8.2. Payment for bookings is collected by Aamey at booking confirmation (or upon completion for time-and-materials services); held in escrow and released to your Stripe Connect account on service completion.

8.3. Disputes: a client may dispute a service within 7 days of completion. Joorus may pause the payout pending investigation. Findings:

• In your favor → payout released, no chargeback
• In client's favor → refund processed, payout reversed
• Inconclusive → 50/50 split unless one party escalates

8.4. Chargebacks initiated through the client's payment method are governed by Stripe rules; you may be liable for the chargeback amount plus Stripe's chargeback fee.

9. Conduct, suspension, termination

9.1. Joorus may suspend or terminate your account immediately for:

• Falsified credentials
• Material breach of this Agreement
• Repeated client complaints with substantiated cause
• Harassment, discrimination, or illegal conduct
• Tax-fraud indicators

9.2. You may terminate this Agreement on 30 days' notice. Pending payouts are released subject to Stripe's hold rules; you retain access to your downloaded Content.

10. Indemnity and liability

10.1. You indemnify Joorus from claims arising out of your services, your Content (where it infringes third-party rights), your interactions with clients, or your violation of this Agreement.

10.2. Joorus's liability to you is capped at the greater of (a) CAD $100 or (b) the fees Joorus collected on your behalf in the prior 12 months.

10.3. Joorus does not insure you for service risks. You are encouraged to maintain professional liability insurance.

11. Tax

11.1. You are solely responsible for your income, sales, and other taxes related to your services. Joorus is not your tax advisor.

11.2. Where Aamey collects sales tax / GST / HST / VAT from a client on your services, Joorus remits to the authority. Your payout reflects net amounts after tax remittance.

11.3. Joorus issues annual tax-reporting forms via Stripe Connect.

12. Modifications

Joorus may modify this Agreement on 30 days' notice. Material changes require your re-acceptance to continue receiving paid-tier features.

13. Dispute resolution

Per Section 11 of the Terms of Service (Ontario law, binding arbitration for US users, courts of Toronto for others).
