This Master Services Agreement ("MSA") governs the relationship between Joorus Inc. and a business customer ("Tenant", "Customer") operating Aamey kiosks at one or more retail locations.
DRAFT — pending licensed-attorney review (B2B SaaS, in-store retail compliance, ADA/EN-301-549). Do NOT sign tenants before attorney sign-off.
1. Order of precedence
This MSA is supplemented by the Order Form signed at sign-up (defines tier, locations, devices, fees). In case of conflict: Order Form → MSA → Aamey Terms of Service.
2. Services
Joorus grants Tenant a non-exclusive, non-transferable, revocable license to:
- Install and operate the Aamey Kiosk app on Tenant's devices at Tenant's locations
- Access the B2B Admin Console at
kiosk.aamey.com - Run localized campaigns, configure catalog scope, white-label theming
- Access analytics and telemetry for Tenant's deployments
- Subject to Tenant's compliance with this MSA and the Terms of Service
3. Tier and fees
Per Order Form. Standard published tiers:

Setup fee: $499 per location (one-time). Overage: $79/mo per additional device beyond included count.
Fees are billed monthly in advance via the Tenant's chosen payment method or invoice (Net-30 for Enterprise).
4. Tenant responsibilities
- Provide Tenants Order Form with accurate billing and contact details
- Comply with all applicable retail, employment, and accessibility laws at each location
- Ensure devices used as kiosks are placed and maintained safely
- Train in-store staff on responsible kiosk operation (including reset / privacy / accessibility features)
- Comply with consumer-protection law for any in-store promotions surfaced via Aamey
- Notify Joorus within 24 hours of any incident affecting end-user privacy or safety at a Tenant location
5. Joorus's responsibilities
- Maintain platform availability per SLA (Enterprise: 99.9%; Starter/Growth: best-effort)
- Provide timely software updates
- Maintain anonymous-walk-in privacy guarantees (Section 10.10 of master plan)
- Support response: 1 business day (Starter), same-day (Growth), 4-hour business-hour SLA (Enterprise)
6. Data ownership
6.1. Tenant data (catalog SKUs, campaign content, store-level analytics) is Tenant's; Joorus has a license to host and process it.
6.2. End-user data captured at a Tenant kiosk (face captures, profiles, sessions) is co-controlled — Joorus is the controller for global Aamey purposes; Tenant is a co-controller for in-store purposes only. Tenant agrees to use end-user data only as the master end-user consent permits.
6.3. Aggregated benchmarks — Joorus may produce industry benchmarks that include de-identified Tenant data. Tenant data is never identified to other Tenants.
7. Confidentiality
Each party maintains confidentiality of the other's non-public information for 5 years post-termination. Public information, prior knowledge, and legally compelled disclosures are excluded.
8. Term and termination
8.1. Term: as stated on Order Form (default month-to-month; Enterprise often 12 or 24 months).
8.2. Either party may terminate for material breach uncured within 30 days of notice.
8.3. Joorus may terminate for non-payment after 30 days of arrears.
8.4. On termination: Joorus disables Tenant's kiosks within 7 days; Tenant may export Tenant data within 30 days; Joorus deletes Tenant data after 90 days.
9. Indemnity
Each party indemnifies the other for third-party claims arising out of its breach of this MSA or its violation of applicable law. Aamey indemnifies for IP-infringement claims related to the Aamey platform; Tenant indemnifies for claims arising from Tenant's products, store operations, or in-store conduct.
10. Limitation of liability
Each party's total liability is limited to fees paid (or payable) under this MSA in the 12 months preceding the claim. Neither party is liable for indirect, consequential, or punitive damages, except for breaches of confidentiality, IP infringement, or willful misconduct.
11. Data-processing addendum
A separate Data Processing Addendum ("DPA") is appended to and forms part of this MSA, addressing GDPR / CCPA / PIPEDA / Quebec Law 25 obligations where Joorus processes personal data on Tenant's behalf.
12. Service Level Agreement (Enterprise tier)
- Uptime: 99.9% measured monthly (excluding planned maintenance with ≥48-hour notice)
- Credits: for downtime breach, 10% of monthly fees per 0.1% below SLA, up to 50% credit
- Support response: P1 critical issues — 4 hours business-day; P2 — 8 hours; P3 — 24 hours
13. Modifications
Joorus may modify this MSA on 90 days' notice. Material modifications affecting Enterprise Tenants require those Tenants' counter-signature on a revised Order Form.
14. Governing law
Ontario, Canada, with disputes resolved per Section 11 of the Terms of Service unless overridden by a counter-signed addendum.
